1. The service

Umbrella Dynamics provides an AI-powered phone answering service: an artificial-intelligence voice agent that answers calls to your designated WhatsApp Business number, screens spam, collects caller information, and forwards genuine calls or summaries to you. The service depends on third-party platforms (including ElevenLabs and Meta's WhatsApp Business Platform) and their availability.

2. Accounts and setup

A one-time setup fee covers building your agent, connecting your WhatsApp Business number, and initial tuning. Setup typically completes within 48 hours of receiving your complete onboarding information. You represent that the phone number and business information you provide are yours to use.

3. Trial, billing, and refunds

• The setup fee is due at signup and begins your setup.
• Your 7-day service trial starts when your agent goes live.
• Monthly subscription billing begins on day 8 and recurs monthly until canceled.
• Setup-fee guarantee: if you are not satisfied and cancel by the end of your 7-day trial, the setup fee is refunded in full.
• Monthly fees are otherwise non-refundable for partial months; you may cancel anytime effective at the end of the current billing period.
• Plans include stated monthly call-minute allowances; sustained overage may require a plan change, agreed with you before any additional charge. [REVIEW: confirm you want approval-first overage handling rather than automatic overage billing.]

4. Acceptable use

You may not use the service for unlawful purposes, harassment, deceptive practices, emergency-call handling (the service is not a substitute for 911 or emergency lines), or in violation of Meta's WhatsApp Business policies. We may suspend service for abuse or non-payment after notice.

5. AI limitations

AI agents are automated systems and may occasionally mishear, misunderstand, or respond imperfectly. You are responsible for reviewing call summaries and for all business decisions. We do not guarantee capture of every call or lead.

6. Call recording compliance

You are responsible for complying with call-recording and consent laws applicable to your business and your callers, including any required disclosures in your agent's greeting.

7. Partner program

Approved partners earn a 20% recurring commission on referred clients' monthly subscription fees (excluding setup fees) for the referred client's first 12 months, paid [REVIEW: choose payout schedule, e.g., monthly with a $25 minimum]. Commission terms may be updated prospectively. Self-referrals and fraudulent referrals are ineligible.

8. Intellectual property

Umbrella Dynamics™, our logo, site, and agent configurations are our intellectual property. Your business information remains yours; you grant us a license to use it to provide the service.

9. Disclaimers and liability

The service is provided "as is." To the maximum extent permitted by law, our total liability for any claim is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost business or missed calls.

10. Termination

Either party may terminate with notice; upon termination we deactivate your agent and, on request, export your configuration and data.

11. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, USA [REVIEW: confirm], excluding conflict-of-law rules.

12. Changes

We may update these terms prospectively; continued use after the effective date constitutes acceptance.
